Introduction & Acceptance
Welcome to Future Intelligence Tech ("Company", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of our drone services, AI-powered analytics platform, and related technologies (collectively, the "Services").
By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such modifications constitutes your acceptance of the revised Terms.

Definitions
For the purposes of these Terms, the following definitions apply:
"Account" means the user account you create to access our Services.
"AI Analytics" refers to our artificial intelligence and machine learning systems that process visual data for safety monitoring, PPE detection, and site analysis.
"Authorized User" means any individual granted access to the Services through your Account.
"Confidential Information" means any non-public information disclosed by either party that is designated as confidential or should reasonably be understood to be confidential.
"Data" means all electronic data, information, or materials submitted to the Services by you or on your behalf.
"Drone Services" refers to our unmanned aerial vehicle operations, including mapping, inspection, and surveillance services.
"Platform" means our web-based software application and associated APIs through which you access the Services.
"Service Level Agreement" or "SLA" means the performance standards and uptime guarantees applicable to the Services.

Account Registration & Security
3.1 Account Creation
To access certain features of our Services, you must register for an Account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
3.2 Account Security
You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You agree to:
• Use a strong, unique password for your Account
• Enable multi-factor authentication when available
• Notify us immediately of any unauthorized access or security breach
• Not share your Account credentials with any third party
3.3 Account Suspension
We reserve the right to suspend or terminate your Account if we reasonably believe that:
• You have violated these Terms
• Your Account poses a security risk
• Your Account is being used for fraudulent or illegal activities
• Required by law or regulatory authority

Service Description
4.1 Drone Services
Our drone services include aerial mapping, site inspection, progress monitoring, and surveillance operations conducted by our certified pilots using industry-leading equipment. All drone operations comply with Saudi Arabian Civil Aviation Authority (GACA) regulations.
4.2 AI Analytics Platform
Our AI-powered platform provides:
• Real-time PPE (Personal Protective Equipment) detection
• Danger zone monitoring and alerts
• Incident prevention analytics
• Progress tracking and reporting
• CCTV integration capabilities
4.3 Service Availability
We strive to maintain high availability of our Services. However, the Services may be temporarily unavailable due to scheduled maintenance, system updates, or circumstances beyond our control. We will provide reasonable advance notice of planned maintenance when possible.
4.4 Service Modifications
We continuously improve our Services and may modify, update, or discontinue features at any time. We will provide notice of material changes that significantly affect your use of the Services.

User Responsibilities & Acceptable Use
5.1 Your Responsibilities
You agree to:
• Use the Services only for lawful purposes and in compliance with all applicable laws
• Ensure all Authorized Users comply with these Terms
• Maintain appropriate security measures for your systems and data
• Provide accurate information for drone operation planning and execution
5.2 Prohibited Activities
You shall not:
• Use the Services to violate any applicable law or regulation
• Attempt to gain unauthorized access to the Services or related systems
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, or disassemble any aspect of the Services
• Use the Services to collect, store, or transmit malicious code
• Resell, sublicense, or transfer the Services without our written consent
• Use automated means to access the Services except through our APIs
• Use the Services in any manner that could damage our reputation
5.3 Compliance
You are responsible for ensuring that your use of the Services complies with all applicable laws, regulations, and industry standards, including but not limited to data protection laws, aviation regulations, and workplace safety requirements.

Intellectual Property Rights
6.1 Our Intellectual Property
The Services, including all software, algorithms, designs, documentation, and other materials, are owned by Future Intelligence Tech or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.
6.2 Your Data
You retain all ownership rights to your Data. By using the Services, you grant us a limited license to use, process, and store your Data solely to provide the Services and improve our offerings.
6.3 Feedback
If you provide suggestions, ideas, or feedback about the Services ("Feedback"), you grant us a worldwide, royalty-free, perpetual license to use and incorporate such Feedback into our Services without any obligation to you.
6.4 Trademarks
"Future Intelligence Tech," our logos, and other marks are our trademarks. You may not use our trademarks without our prior written consent.

Data Privacy & Protection
7.1 Privacy Policy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices.
7.2 Data Processing
We process your Data in accordance with applicable data protection laws, including:
• Saudi Arabian Personal Data Protection Law (PDPL)
• Industry-specific regulations applicable to your sector
7.3 Data Security
We implement appropriate technical and organizational measures to protect your Data, including:
• Encryption of data in transit and at rest
• Regular security assessments and penetration testing
• Access controls and authentication mechanisms
• Incident response procedures
7.4 Data Retention
We retain your Data for as long as necessary to provide the Services and comply with our legal obligations. Upon termination of your Account, we will delete or anonymize your Data in accordance with our data retention policy, unless retention is required by law.
7.5 Data Location
Your Data is primarily stored and processed in data centers located in Saudi Arabia and the Gulf region to ensure compliance with local regulations and optimal performance.

Payment Terms & Billing
8.1 Fees
You agree to pay all fees associated with your use of the Services as specified in your service agreement or our published pricing. All fees are quoted in Saudi Riyals (SAR) unless otherwise specified.
8.2 Payment Terms
• Invoices are issued monthly or as specified in your service agreement
• Payment is due within thirty (30) days of invoice date
• Late payments may incur interest at 1.5% per month or the maximum rate permitted by law
8.3 Taxes
All fees are exclusive of taxes. You are responsible for paying all applicable taxes, including VAT, associated with your use of the Services.
8.4 Price Changes
We may adjust our pricing with at least thirty (30) days' notice. Price changes will apply to billing periods starting after the effective date of the change.
8.5 Refunds
Fees are non-refundable except as expressly stated in these Terms or required by law.

Service Level Agreement
9.1 Uptime Commitment
We commit to maintaining 99.5% availability of our Platform during each calendar month, excluding scheduled maintenance windows.
9.2 Support Response Times
• Critical Issues (Platform unavailable): Response within 15 minutes
• High Priority (Major feature impacted): Response within 1 hour
• Medium Priority (Feature degraded): Response within 4 hours
• Low Priority (General inquiries): Response within 24 hours
9.3 Service Credits
If we fail to meet our uptime commitment, you may be eligible for service credits:
• 99.0% - 99.5% availability: 10% credit
• 98.0% - 99.0% availability: 25% credit
• Below 98.0% availability: 50% credit
Service credits are applied to future invoices and do not exceed 50% of monthly fees.
9.4 Exclusions
The SLA does not apply to:
• Scheduled maintenance with advance notice
• Issues caused by factors outside our reasonable control
• Issues resulting from your equipment, software, or third-party services
• Suspension of Services due to your breach of these Terms

Limitation of Liability
10.1 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FUTURE INTELLIGENCE TECH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.
10.2 Cap on Liability
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF:
• The amounts paid by you to us in the twelve (12) months preceding the claim; or
• One hundred thousand Saudi Riyals (SAR 100,000)
10.3 Exceptions
The limitations in this section do not apply to:
• Liability arising from gross negligence or willful misconduct
• Breach of confidentiality obligations
• Infringement of intellectual property rights
• Your payment obligations
10.4 Basis of the Bargain
The limitations of liability in this section reflect the allocation of risk between the parties and are an essential element of the basis of the bargain between us.

Indemnification
11.1 Your Indemnification Obligations
You agree to indemnify, defend, and hold harmless Future Intelligence Tech and our officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
• Your use of the Services
• Your violation of these Terms
• Your violation of any applicable law or third-party rights
• Your Data or content submitted to the Services
• Actions of your Authorized Users
11.2 Our Indemnification Obligations
We will indemnify and defend you against claims that the Services infringe any third-party intellectual property rights, provided that:
• You promptly notify us of the claim
• You give us sole control of the defense and settlement
• You provide reasonable cooperation in the defense
11.3 Indemnification Procedure
The indemnifying party shall:
• Promptly assume the defense of the claim
• Keep the indemnified party reasonably informed
• Not settle without the indemnified party's consent if the settlement imposes obligations on them
12
Term & Termination
12.1 Term
These Terms commence when you first access the Services and continue until terminated as provided herein.
12.2 Termination for Convenience
Either party may terminate these Terms:
• With thirty (30) days' written notice for month-to-month subscriptions
• At the end of the current term for annual subscriptions with sixty (60) days' notice
12.3 Termination for Cause
Either party may terminate these Terms immediately upon written notice if the other party:
• Materially breaches these Terms and fails to cure within thirty (30) days
• Becomes insolvent or files for bankruptcy
• Ceases to operate in the ordinary course of business
12.4 Effect of Termination
Upon termination:
• Your access to the Services will be suspended
• You must pay all outstanding fees
• We will provide you with your Data for thirty (30) days
• Provisions that by their nature should survive will remain in effect
12.5 Data Export
Upon request made within thirty (30) days of termination, we will make your Data available for export in a standard format.

Dispute Resolution
13.1 Informal Resolution
Before initiating formal dispute resolution, the parties agree to attempt to resolve any dispute informally by contacting each other and negotiating in good faith for at least thirty (30) days.
13.2 Mediation
If informal resolution is unsuccessful, either party may request mediation through a mutually agreed mediator in Riyadh, Saudi Arabia. The costs of mediation shall be shared equally.
13.3 Arbitration
Any dispute not resolved through mediation shall be finally resolved by binding arbitration administered by the Saudi Center for Commercial Arbitration (SCCA) in accordance with its rules. The arbitration shall be conducted in Riyadh, Saudi Arabia, in the Arabic or English language as agreed by the parties.
13.4 Exceptions
Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.
13.5 Class Action Waiver
You agree to resolve disputes with us on an individual basis and waive any right to participate in class actions or class-wide arbitration.
14
Governing Law
14.1 Applicable Law
These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to its conflict of law principles.
14.2 Jurisdiction
Subject to the dispute resolution provisions above, the courts of Riyadh, Saudi Arabia shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms.
14.3 Compliance with Local Laws
You are responsible for compliance with local laws applicable to your use of the Services. If any provision of these Terms conflicts with mandatory local law, that law shall prevail to the extent of the conflict.
14.4 Export Compliance
The Services may be subject to export control laws and regulations. You agree not to export, re-export, or transfer the Services in violation of any applicable export laws.

Changes to Terms
15.1 Modifications
We reserve the right to modify these Terms at any time. We will provide notice of material changes by:
• Posting the updated Terms on our website
• Sending an email to your registered email address
• Displaying a notice in the Platform
15.2 Effective Date
Changes will become effective thirty (30) days after posting, unless we specify a different effective date or the changes are required by law.
15.3 Your Options
If you do not agree to the modified Terms, you may terminate your Account before the changes become effective. Your continued use of the Services after the effective date constitutes acceptance of the modified Terms.
15.4 Version History
We maintain a history of previous versions of these Terms, which you may request by contacting us.
